Terms of Service
The draft terms governing use of the Signup Crew service.
1. Agreement and contracting business
These Terms of Service (Terms) govern access to and use of Signup Crew's websites, applications, and related services (collectively, the Service). The Service is provided by Just Walking Ventures, LLC, doing business as Signup Crew (Signup Crew, we, us, or our).
Signup Crew is an active Florida fictitious name registered with the Florida Department of State under registration G26000112669 on August 20, 2026. This registration is not presented as a trademark registration.
By creating an account or using the Service on behalf of an organization, you agree to these Terms and acknowledge the Signup Crew Privacy Policy. If you use the Service for an organization, you represent that you have authority to bind that organization. If you do not agree, do not create an account or use the Service.
Signup Crew customer account holders must be at least 18 years old.
2. The Service
Signup Crew helps organizations create and administer Events, manage Volunteer opportunities, accept RSVP registrations, communicate with participants, track attendance, and use related reporting and customer-administration features.
The features available to an organization depend on its plan, entitlements, subscription or complimentary authorization, role permissions, and current access state. We may improve or change the Service over time, provided that any changes remain subject to these Terms and applicable law.
3. Accounts, roles, and security
You must provide accurate account information, keep your authentication methods secure, and promptly tell us about suspected unauthorized access. You are responsible for actions taken through your account unless applicable law provides otherwise.
Organizations control which authorized people receive organization and Event roles. Some consequential actions are limited to an Organization Owner or other specifically authorized role. You may not share credentials or attempt to use a role, invitation, or account that was not issued to you.
4. Organization responsibilities
Organizations decide what Events to create, what appropriate information to request, who may access their organization, and how to use information obtained through the Service. Each organization is responsible for:
- the accuracy, legality, and appropriateness of its Event content, communications, custom questions, notes, and files;
- obtaining any notice, permission, authorization, or consent required for its collection and use of participant information;
- giving authorized access only to people who need it;
- protecting Volunteer and RSVP information downloaded or exported from the Service;
- honoring applicable participant rights and communication preferences; and
- complying with laws applicable to its activities and Events.
Signup Crew processes organization and participant information to provide registration, Volunteer management, attendance, communications, reporting, support, and related features.
5. Volunteers, RSVP participants, and minors
Volunteers and RSVP participants generally do not need Signup Crew accounts. Organizations may collect Event-related information such as names, email addresses, optional phone numbers, guest names, assignments, responses to custom questions, waitlist state, attendance, communication history, organizer notes, and historical participation. Not every Event collects every category.
Signup Crew is a general-audience business service and is not directed to children under 13. Customer account holders must be at least 18 years old.
Organizations may use Signup Crew for Events involving minors. The organization is responsible for determining whether the activity is appropriate and for obtaining parent or guardian notices, permissions, authorization, or consent required by applicable law. Signup Crew does not currently provide a dedicated age, guardian, or parental-consent workflow.
These Terms do not represent that Signup Crew is certified or designed for COPPA, FERPA, HIPAA, or another specialized regulatory regime. They do not state categorically that COPPA or another law can never apply to a particular organization's activities.
6. Sensitive information
Do not use custom questions, notes, attachments, support messages, or other fields to collect or store unnecessary highly sensitive information. This includes Social Security numbers, passwords, payment-card information, banking credentials, government identification numbers, detailed medical records, or other highly sensitive information that is not reasonably necessary for Event administration.
Organizations should not use Signup Crew as a repository for information that requires a specialized regulated environment unless Signup Crew has separately agreed in writing to support that use. Signup Crew does not claim HIPAA, FERPA, COPPA, PCI, or other specialized compliance merely because a customer operates in a context where those requirements may be relevant.
7. Acceptable use
You may not use the Service to:
- violate law or another person's rights;
- gain or attempt unauthorized access to an account, organization, system, or data;
- distribute malware or interfere with the Service's security, availability, or operation;
- send unlawful, deceptive, abusive, or unsolicited communications;
- impersonate another person or misrepresent your affiliation or authority;
- collect participant information in a manner inconsistent with these Terms or applicable law; or
- copy, reverse engineer, or misuse the Service except where applicable law does not permit that restriction.
We may investigate suspected misuse and restrict access when reasonably necessary to protect the Service, customers, participants, or others.
8. Plans, subscriptions, and trials
Signup Crew offers Basic, Crew, and Pro plans with monthly and annual billing options. Current plan details and operating instructions appear in the Service and Help Center.
An eligible organization may receive one 14-day commercial trial. The trial begins only after successful Stripe Checkout and provision of the required payment method. An organization that has already received a commercial trial or complimentary access is not eligible for another trial under the current rules. Unless cancelled, an eligible trial converts to the selected paid subscription at the end of the trial.
Complimentary access is a separate, finite authorization. It is not a commercial subscription or a commercial trial and does not create a right to a later free trial.
9. Billing, plan changes, and taxes
Commercial subscriptions are processed through Stripe. Routine payment-method, invoice, cancellation, and subscription management uses the Stripe Customer Portal where available.
- An upgrade may take effect immediately and may include applicable proration.
- A downgrade or reduction in billing cadence ordinarily takes effect at the end of the current applicable period.
- Cancellation preserves access through the paid period and prevents ordinary renewal at the end of that period.
- A failed renewal payment receives a seven-day grace period. An unresolved failure may result in suspension.
Payment suspension is not the same as access expiration. A payment-suspended organization does not enter the 60-day organization-deletion lifecycle merely because payment was suspended. That lifecycle starts if and when the paid or complimentary authorization reaches its actual end under the accepted commercial rules.
Prices may be subject to taxes required by applicable law. Signup Crew does not represent that it automatically calculates, collects, or remits every tax in every jurisdiction. A customer's tax responsibility may depend on the transaction, its location, exemption status, and applicable law.
10. Refunds
Monthly fees generally are not refundable after a billing period begins. Cancelling an annual subscription does not automatically create a prorated refund. Signup Crew may, in its discretion and where permitted by law, provide a refund or credit in an unusual customer-service circumstance. This discretion does not guarantee a refund in another case and does not limit rights that cannot lawfully be waived.
11. Expiration, retention, deletion, and reactivation
Access continues through the applicable paid or authorized period. Access expiration occurs when that paid or complimentary authorization reaches its actual end. Access expiration starts the current organization lifecycle:
- public signup and RSVP actions stop immediately at access expiration;
- during days 1 through 14 after expiration, a public Event page may remain reachable, but it cannot accept signup or RSVP actions;
- internal organization users have read-only access during days 1 through 14;
- after day 14, public Event pages become unavailable and internal organization access is blocked until applicable reactivation;
- normal operational organization-data deletion is scheduled 60 days after access expiration;
- an exceptional, audited retention extension may extend retention, but never beyond day 90; and
- an Organization Owner may request earlier permanent deletion through Signup Crew's verified process.
Operational deletion is irreversible. Reactivation before deletion may restore access to retained information under the applicable lifecycle rules. Previously public Events are not automatically republished after reactivation. Queued or scheduled communications stop after the paid or authorized period and do not automatically resume.
Signup Crew may retain limited information reasonably necessary for billing, tax or accounting, fraud prevention, security, audit, legal obligations, compliance, and suppression or unsubscribe handling. Expiration or operational deletion therefore does not guarantee that every record in every system is erased on day 60.
12. Customer content and privacy
The organization retains the ownership and other rights it has in content it submits to Signup Crew. Signup Crew does not claim ownership of customer content merely because it is submitted to the Service. The organization remains responsible for that content and for having the rights needed for Signup Crew to handle it as described in these Terms.
The organization grants Signup Crew only the rights reasonably necessary to host, copy, process, transmit, format, display, secure, back up where applicable, and otherwise handle that content for purposes of providing, operating, securing, and supporting the Service and complying with law in connection with the Service.
Signup Crew's handling of personal information is described in the Privacy Policy intended for https://signupcrew.com/privacy.
13. Third-party services
The Service relies on third parties including Supabase for database, authentication, sessions, MFA, and storage; Stripe for hosted payment and subscription services; Resend for email delivery; Vercel for hosting and operational infrastructure; and Google when a user selects optional Google authentication.
Third-party services may be governed by their own terms and privacy practices. Signup Crew is not responsible for a third party's independent products or services, subject to responsibilities that cannot lawfully be disclaimed.
14. Suspension and termination
Signup Crew may suspend or limit access for unresolved payment failure, security risk, unlawful or harmful use, material breach of these Terms, or when reasonably required by law. When practical and appropriate, we may provide an opportunity to correct the issue.
Customers may stop using the Service and may cancel a commercial subscription through the supported billing process. Cancellation, expiration, suspension, and deletion remain subject to the applicable provisions above. Payment suspension is governed by Section 9; access expiration, retention, and deletion are governed by Section 11. Payment suspension does not automatically start the organization-deletion lifecycle.
15. Service availability and changes
We work to provide a reliable Service, but availability may be interrupted by maintenance, provider failures, security events, or circumstances outside our reasonable control. Signup Crew does not promise uninterrupted service, guaranteed uptime, or guaranteed recovery objectives.
16. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available.” Just Walking Ventures, LLC, doing business as Signup Crew, disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any other warranty that may lawfully be disclaimed. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
Nothing in these Terms excludes a warranty or statutory right that applicable law does not permit the parties to exclude.
17. Limitation of liability
To the maximum extent permitted by applicable law, Just Walking Ventures, LLC, doing business as Signup Crew, and its owners, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, or loss of goodwill, arising out of or relating to the Service or these Terms.
To the maximum extent permitted by applicable law, the total cumulative liability of Just Walking Ventures, LLC, doing business as Signup Crew, for all claims arising out of or relating to the Service or these Terms will not exceed the greater of:
- the fees paid to Signup Crew for the Service during the 12 months preceding the event giving rise to the claim; or
- $100.
These limitations apply regardless of the theory of liability, but do not apply where prohibited by law or to rights and liabilities that cannot lawfully be limited.
18. Informal dispute resolution and arbitration
Before starting arbitration or a court proceeding, the parties should first try in good faith to resolve the dispute informally through written notice. Notices to Signup Crew may be sent to support@signupcrew.com until a separate legal notice channel is approved. The notice should describe the dispute and the requested resolution without including passwords or payment credentials.
If informal efforts do not resolve the dispute, most disputes that are legally eligible may proceed to binding arbitration on an individual basis rather than as a class, collective, consolidated, or representative action, to the extent permitted by applicable law.
Either party may bring an eligible claim in small claims court. A party may also seek appropriate court relief concerning unauthorized access, misuse of intellectual property, or circumstances where immediate injunctive or equitable relief is legally appropriate. Rights that cannot lawfully be subject to arbitration or waived remain available.
Florida law applies as permitted by law. Court proceedings permitted under this section are subject to the venue provision below.
19. Governing law
These Terms, and any dispute arising out of or related to them or use of the Service, are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
20. Venue and jurisdiction
For disputes that properly remain in court under Section 18, legal actions or proceedings arising from or relating to these Terms or the Service shall be brought in the applicable state courts located in Clay County, Florida, or the federal courts located in the Middle District of Florida. The parties consent to personal jurisdiction and venue there, subject to applicable law.
21. Changes to these Terms
Signup Crew may update these Terms as the Service, business, or legal requirements change. When a change is material, we will provide notice appropriate to the nature of the change and applicable law. The effective date and version will identify the Terms then in force. We do not promise individualized notice for every typographical or immaterial revision.
22. General terms
If a provision of these Terms is unenforceable, the remaining provisions will continue to apply to the extent permitted by law. A delay in enforcing a right does not necessarily waive it. These Terms and incorporated documents are intended to state the agreement concerning the Service.
